1. Acceptance of Terms
By accessing or using Atlas ("the Service"), provided by Exhort Technologies ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
We do not warrant that:
- the Service will be uninterrupted, timely, secure, or error-free;
- the results obtained from using the Service will be accurate or reliable;
- any errors in the Service will be corrected.
You use the Service at your own risk. No advice or information, whether oral or written, obtained from us or through the Service creates any warranty not expressly stated in these Terms.
3. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EXHORT TECHNOLOGIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH:
- your use of, or inability to use, the Service;
- any content obtained from the Service;
- unauthorized access to or alteration of your transmissions or data.
IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.
4. User Responsibilities
You are solely responsible for:
- maintaining the confidentiality of your account credentials;
- all activity that occurs under your account;
- ensuring that your use of the Service complies with all applicable laws and regulations;
- the accuracy of any data you enter into the Service.
You agree not to use the Service to store, transmit, or process any data that infringes on any third-party rights or violates any applicable laws.
5. Subscription and Payment
After the free trial period, continued use of the Service requires a paid subscription at the then-current rate. Fees are non-refundable except as required by law. We reserve the right to change pricing with reasonable advance notice. Failure to pay may result in suspension or termination of your account.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
7. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination will survive, including Sections 2, 3, 8, and 9.
8. Indemnification
You agree to indemnify, defend, and hold harmless Exhort Technologies and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.
9. Governing Law and Disputes
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction in those courts.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above or by other reasonable means. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
